Terms and Conditions

Engagement: Upon acceptance of the proposal by the Client, the terms and conditions outlined herein shall be binding. Hire With Grit (the Agency) agrees to provide recruitment services as specified in the proposal.

Fees and Payments: There are no upfront fees to the client.  Client agrees to the fee structure as outlined in the proposal. Invoices are payable within 30 days of receipt. Late payments are subject to a late fee of 1.5% per month or the maximum allowed by law.

Guarantee Period: Guarantee Period: The Agency offers a 30-day guarantee period. If a placed candidate leaves or is terminated within 30 days, the Agency will endeavor to find a replacement at no additional cost. However:

a. This guarantee is limited to one replacement candidate per original placement. If the replacement candidate also leaves or is terminated within their 30-day guarantee period, any subsequent replacements would be at a negotiated fee.
b. If a Client terminates multiple candidates within the 30-day guarantee period on more than two occasions in a six-month timeframe, the Agency reserves the right to review the terms of the guarantee with the Client. This may result in modification, suspension, or revocation of the guarantee for that particular Client.
c. The guarantee does not apply in cases where the candidate’s termination results from significant changes in the job description, remuneration, or other fundamental terms of employment that were not part of the original agreement.

Client Obligations: Client agrees to provide necessary job descriptions, requirements, and other pertinent details in a timely manner. The Client also agrees to inform the Agency promptly upon deciding to hire a candidate presented by the Agency.

Confidentiality: Both parties agree to maintain and protect the confidentiality of all information obtained during the engagement, excluding publicly available information.

Liabilities: Hire With Grit makes no express or implied warranties regarding the fitness of candidates for particular roles. While we make diligent efforts to vet candidates, the final hiring decision and due diligence lie with the Client.

Non-Solicitation: During the engagement and for 12 months after its termination, the Client agrees not to solicit or hire any employees of the Agency directly without the Agency’s consent.

Termination: Either party may terminate the agreement with 30 days’ written notice. In the event of termination, the Client remains responsible for fees related to candidates hired as a direct result of the Agency’s services rendered before termination.

Indemnity: The Client agrees to defend, indemnify, and hold the Agency harmless against any claims, losses, or damages arising out of the Client’s breach of this agreement or any employment decisions made based on candidates presented by the Agency.

Governing Law: This proposal and any agreement arising from it shall be governed by the laws of the state in which Hire With Grit is registered. Any disputes arising out of this agreement will be resolved in the jurisdiction of that state.
